If you think about the upgrade license, MS's use of it in Vista makes
sense... when you purchase the upgrade version of a piece of software,
you're get a discount to replace the older version.

Adobe, for instance, sold (I don't know if this is still the case),
upgrade copies of Photoshop (et al) without license keys-- the new
versions required the old version's key.

It is generally not allowed, if buying a new upgrade version, to sell or
give away the older version, allowing someone else to use it while you
use the new copy.

Similarly, setting up a computer to multiboot between, say, Win 2000 or
XP and Vista is giving you two installations of Windows, even though
you're not running them at the same time... from Microsoft's point of
view, if you want or need two installations of Windows, you need to
purchase two full-versions of Windows.

The other recent criticism of the Vista Upgrade versions has been
reports that in order to install it, a user had to have a previous
installation of W2000 or XP on the system- that unlike earlier Windows
upgrade versions, it wouldn't allow users to install it onto a clean
system, then enter the previous version CD as proof of upgradability.

This would have been a major pain for users wanting to reinstall after a
system crash or upgrading to a new hard drive or other valid situations.
