 You really have quite a few options to choose from, but the first question
 would be whether or not (and why) you intend to keep the DOS box
 permanently networked.

 The simplest solution for a one time transfer would be to use boot floppies
 from Ghost, or similar, set up for networking.  You set them up with the
 DOS drivers for the respective NICs of the master and slave systems.
 Ghost provides the rest of the software needed; it's a straightforward
 process.

 That assumes that you would create a separate FAT partition to house your
 DOS/Win3.1 install, and that you would dual boot.  Should be no problem.

 IOTOH, you want a permanently networked 486 box, a minimalist Linux
 install on a separate partition on the 486 (again, a dual boot) makes
 the most sense to me.

 Linux should work with the 486 hardware, including the NIC, without
 issues.  It will also see the FAT partition, so that in a Linux session
 with SAMBA properly configured, your other machines can share all of
 the files on the 486 box (DOS and Win3.1).

 Depending on your available RAM, you might even be able to install a
 version of Linux that would allow you to run the X-Window, and use
 Linux internet applications from the GUI.  The likely scenario either
 way, is that your CD drive is likely not bootable, so you would need
 to make install floppies for the Linux version of your choice, on your
 XP box.

 I agree with Gordon that a DOS solution is too impractical.
