That doesn't make sense as the same restrictions apply to OS's running under
both Microsoft and VMWare products, there's no difference.

Exactly -- and there is time to continue building a better product. (and they
do have the better product right now with a lions share of the market)

Parallels is also pushing into the Windows scene too, but it's pretty similar
to VMWare's Workstation product there. (except it's cheaper)
